Add a Director

The Articles of Association (AOA) of a company are the source of authority which gives the Board of Directors the right to add or remove directors to the Board (As per section 152 to section 169 of the Companies Act, 2013). The person appointed must be eligible as per the relevant clauses in the AOA and must give his consent to be a director in written form, which the company must register with itself.

Remove a Director:

Power to remove the directors has always bestowed on shareholders, at the end Directors always answerable to shareholders. Shareholder can remove any director except Appointed by Tribunal under section 242 and Directors Appointed under Principle of Proportional representation U/S 163. Section 169 of companies act 2013 gives Right to shareholders to remove the Directors in General meeting Through Ordinary resolution, this legal right can not be damaged or Taken away by MOA,AOA or any other documents or Agreement.
